Companies House Changes

From 18 November 2025, all company directors and people with significant control (PSCs) will be legally required to verify their identity at Companies House under the Economic Crime and Corporate Transparency Act 2023. This requirement is part of wider reforms to help prevent the misuse of UK Companies.

The changes also apply for members of LLPs. The changes will be introduced at a later date for limited partnerships, corporate directors, corporate members of LLPs and people who file at Companies House (e.g. secretaries).

 

For Directors

  • Each director will need to be verified in order to obtain an individual personal code.
  • Once this personal code has been obtained this will be required in order to file the Confirmation Statement (CS01) for the company.
  • The transition year commences on 18 November, which means that all CS01s filed after this date must have each director of the company verified.
  • It is not possible to file a Confirmation Statement after this date, until each director has been verified.
  • A personal code is required for any new directorships or incorporations after the 18 November.

 

For persons with significant control (PSCs)

  • Each PSC will need to provide a personal code to Companies House verifying their role as a PSC. There will be an online service to do this when the requirement comes into effect on 18 November.
  • Each PSC will have a 14-day period during which they must provide their personal code. The dates of the 14-day period depend on whether:
    • The PSC was registered with Companies House before 18 November.
    • The PSC is also a director of the company.
    • For both a PSC and director, the 14-day period commences on the date the Confirmation Statement is due. For a PSC, but not a director, the 14-day period is the first 14 days of the PSC’s birth month.

A Director/PSC only has to verify their identity with Companies House once. However, the personal code and a verification statement is required for each role you hold.

 

How to verify your identity

Directors and PSCs have two options:

  1. With Companies House directly, at no cost. You will need to create an account, and you are asked various questions to determine the best way for you verify your identity online. If DSG file your Confirmation Statement, we will then need the personal code for each Director before the CS01 can be filed and to be able to make any changes to directors on Companies House.
  2. Use DSG as your Authorised Corporate Service Provider. Companies House have approved us to do this on your behalf. Our cost for this is £75 for each director/PSC. If you are both a director and a PSC, you only need to be verified once. We can complete the checks ensuring compliance with the ECCTA regulations using our identity document validation software.
